Hanypay inaugurates Board to strengthen governance, compliance

Hanypay Ghana Ltd, a fintech and digital commerce company, has inaugurated an 11-member Board of Directors to strengthen corporate governance, regulatory compliance, and strategic leadership as it expands its operations within Ghana’s digital financial services sector.

The inauguration and swearing-in ceremony was officiated by Her Ladyship Justice Patricia Quansah, a Justice of the High Court, following her nomination by the Acting Chief Justice.

The event brought together representatives of regulatory bodies, the financial sector, academia, legal practitioners, corporate organisations, development partners, traditional authorities, and members of the media.

At the inaugural board meeting, Mr Daniel Glover was elected Chairman of the Board, while Ms Grace Kafui Vormawor was elected Vice Chairperson. Mr Gershon Ntsri, Esq., was appointed Board Secretary.

Other members of the Board are Prof Hugh Aryee, Mr Godson Sena Adjavor, Dr Esther Asiedu, Dr Makafui R. Agboyi, Mr Stephen Opon, Dr Joshua Doe, Rev Flora Lamptey, and Mr Hudson Emmanuel Opoku-Mensah.

Speaking at the ceremony, Prof Hugh Aryee, Founder and Group Chief Executive Officer of Hanypay Ghana Ltd, expressed appreciation to the Securities and Exchange Commission (SEC) Ghana for admitting the company into its Regulatory Sandbox Programme.

He described the admission as a significant milestone that reflected the Commission’s commitment to responsible innovation, investor protection, regulatory oversight, and the development of Ghana’s digital financial sector.

Prof Aryee said the company’s innovation strategy was anchored on transparency, accountability, compliance, and responsible digital financial innovation.

He noted that Hanypay was currently developing and testing several solutions within the regulatory sandbox environment, including a utility payment settlement system, secured peer-to-peer and business-to-business transaction channels, corporate and merchant digital wallets, and integrated fintech interoperability systems.

He also highlighted Hanymarket, the company’s digital marketplace platform, which is designed to facilitate trade and commerce across Africa.

According to him, the platform seeks to support financial inclusion and digital commerce accessibility through the use of the company’s utility token ecosystem.

Prof Aryee said strong governance and regulatory compliance would remain central to the company’s long-term growth strategy as it positions itself within the emerging Virtual Asset Service Provider ecosystem.

“Our Board represents expertise across academia, law, banking, accounting, audit, governance, technology, business leadership and financial services. Their role is to strengthen compliance culture, provide strategic oversight, ensure accountability and support the growth of Hanypay into a credible digital finance institution,” he said.

He explained that the Board would provide oversight in areas such as regulatory compliance, risk management, corporate governance, financial sustainability, technology innovation, cybersecurity, strategic partnerships, international expansion, consumer protection, and operational accountability.

The company reaffirmed its commitment to maintaining high standards of integrity, compliance, risk management, corporate governance, consumer protection, and responsible innovation as it seeks to expand its digital financial ecosystem.
